BoxCloud Terms of Service

By using BoxCloud, a product ("Service") of WiredReach, Inc. ("WiredReach"), you are agreeing to be bound by the following terms and conditions ("Terms of Service"). WiredReach also has a Privacy Policy that you should review.

WiredReach reserves the right to change the Terms of Service at any time without notice. Any new features that may be added to the Service shall be subject to the Terms of Service. Continued use of the Service after such modifications shall constitute your consent to such modifications. Violation of any part of the Terms of Service will result in termination of your account.

Account Terms

1. You must be 13 years or older to use this Service.

2. You must provide your full legal name, a valid email address, and any other required information to complete the sign-up process.

3. You are responsible for maintaining the privacy and security of your account. WiredReach will not be held liable for any damage or loss that may result from your failure to protect your login information.

4. You are responsible for all Content posted and activity that occurs under your account.

5. You may not use the Service for any illegal or unathorized purpose (including but not limited to copyright laws).

Payment and Account Plans Terms

1. A valid credit card is required for paying account plans. A credit card is not required to create or use a free account.

2. Your 30-day free trial period begins from the moment you create your account. You may within that period upgrade or downgrade your account without incurring any charge to your credit card. Your credit card will be charged monthly starting on the 30th day after that account was initially created. If you cancel the Service prior to the processing of your first invoice on the 30th day, your credit card will not be charged.

3. The Service is billed in advance for each month, and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds made should you not use the Service during a period of time when your account is open. No exceptions will be made.

4. Should you upgrade or downgrade your account plan, the credit card that you provided will be charged the new rate on your next billing cycle.

5. All fees are exclusive of all taxes or duties imposed by governing authorities. You are responsible for payment of all such taxes or duties if and when they apply.

6. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the BoxCloud Site (www.boxcloud.com).

7. WiredReach shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Cancellation and Termination

1. You are solely responsible for the proper cancellation of your account. You may cancel your account at any time from your Account Page which can be found under the the "Account->My Account Page" menu in the BoxCloud application. The Account screen provides a link to cancel your account. Email or phone requests to cancel your account will not be deemed cancellation.

2. Your account and it's Content (BoxCloud ID and BoxCloud Page URL) will be deleted immediately upon your cancellation of the Service.

3. After you cancel your account, you will not be charged again. There are no refunds for partial months.

Copyright and Ownership

WiredReach owns the intellectual property rights to all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements contained within the Service. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or dissemble any aspect of the Service.

WiredReach claims no intellectual property rights over the Content you share using the Service. It's your data and you are solely responsible for it.

General Conditions

1. Technical support is only provided to paying account customers and is only available via email.

2. You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of WiredReach.

3. You may not use the service to transmit any viruses, worms, or malicious content.

4. You understand that the technical processing and transmission of the Service, including your Content, may be transfered unencrypted and involve transmissions over various networks.

5. WiredReach makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free, and (iv) that bugs or errors in the Service will be corrected.

6. You expressly understand that WiredReach shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.

7. The failure of WiredReach to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and WiredReach and governs your use of the Service, superceding any prior agreements between you and WiredReach (including, but not limited to, any prior versions of the Terms of Service).
